A Basket of Funds managed by the Advisor. 
The Reference Fund means the
Coatue Asia Offshore Feeder Fund LP.
The Fund invest in Private and public equity strategy focused on technology-based, consumer, and other companies based and/or with significant operations in China and other parts of Asia.
No investment in a single private portfolio company is expected to exceed 20% of the Fund. At the end of the Private Investment Period, it is expected that no more than 50% of the Fund’s portfolio will be comprised of private companies.


The initial weighting of the Basket Components at the Basket Start Date is as follows:

The Cash Component will be increased by:

(i) Upsizes of the Bonds
and
reduced by
(i) notional payments that the Notional Investor would have made from time to time in connection with the investment in the Reference Fund;
(ii) taxes, fees, or other expenses that the Notional Investor would have paid in connection with the maintenance of the Reference Basket, and the holding of the Basket Components or the Issuer would bear in connection with the issuance of the Bonds
